Agreement and eligibility
These Terms form an agreement between you and GoodReply, an independent service operated by Ambar Mehrotra in British Columbia, Canada. By creating an account or using GoodReply, you agree to these Terms and our Privacy Policy.
You must be at least 18 and legally able to enter this agreement. If you use GoodReply for an organization, you confirm that you have authority to bind that organization. If you do not agree, do not use the service.
The service
GoodReply connects to supported social accounts and helps review, draft, publish, hide, or ignore comments based on the settings you enable. Features may be experimental, limited, or changed as platform rules and product capabilities change.
We may modify, suspend, or discontinue a feature. We will give reasonable notice when a change materially reduces a paid service, unless urgent security, legal, or third-party platform requirements prevent notice.
Your accounts and authority
You must provide accurate information, protect your sign-in credentials, and promptly tell us about unauthorized use. You are responsible for activity under your GoodReply account.
You may connect only a social account that you own or are authorized to manage. You authorize GoodReply to access data and perform enabled actions through the permissions you grant. You can disconnect an account at any time. You must also follow Meta's and each connected platform's terms and policies.
Acceptable use
You must not use GoodReply to:
- break a law, regulation, platform rule, or another person's rights;
- send spam, deceptive promotions, threats, harassment, or unlawful discrimination;
- impersonate another person or connect an account without authority;
- collect, expose, or infer sensitive personal data without a lawful and appropriate reason;
- upload malware, evade safeguards or usage limits, probe for vulnerabilities, or disrupt the service;
- use automated output for high-stakes legal, medical, employment, credit, housing, or similar decisions;
- resell, reverse engineer, or copy the service except where law expressly allows it.
AI and automated actions
AI output can be inaccurate, incomplete, repetitive, or inappropriate. Similar input may produce different output. You control the brand instructions, moderation settings, and automation features you enable. You are responsible for reviewing whether those settings and resulting actions are suitable for your account, audience, and legal obligations.
Do not rely on GoodReply as the sole control for urgent safety matters or as professional advice. Keep appropriate human oversight. We may block an action when required for safety, security, platform compliance, or service reliability.
Content and ownership
You retain ownership of content, instructions, brand materials, and account data you provide. You grant GoodReply a limited, non-exclusive right to host, process, reproduce, and transmit that material only as needed to provide, secure, and support the service.
You confirm that you have the rights and permissions needed for the material and instructions you provide. GoodReply and its licensors retain ownership of the service, software, design, and related intellectual property. Feedback may be used to improve the service without an obligation to compensate you.
Third-party services
GoodReply depends on services such as Meta, Google Firebase and Google Cloud, AI providers, and Polar. Their terms and privacy policies apply to their services. We do not control their availability, review decisions, permission changes, rate limits, or account restrictions.
A connected platform may reject, delay, change, or remove an action. GoodReply is not responsible for third-party services or for losses caused solely by their systems, rules, or your separate relationship with them.
Billing
Prices, plan limits, billing periods, and trial terms shown at checkout form part of these Terms. Charges are processed by our billing provider. Unless stated otherwise at checkout, subscriptions renew for the selected period until cancelled.
You may cancel future renewal through the available billing portal or by contacting support. Fees already charged are non-refundable except when law requires a refund or the checkout terms state otherwise. Taxes may apply.
Suspension and termination
You may stop using GoodReply and disconnect connected accounts at any time. You may request data deletion using our Data Deletion instructions.
We may limit or suspend access when reasonably needed to address non-payment, security risk, unlawful activity, material breach, platform requirements, or harm to users or the service. We may terminate this agreement if a serious breach is not corrected after reasonable notice, or immediately when delay would create material risk.
Disclaimers and liability
To the extent permitted by law, GoodReply is provided “as is” and “as available.” We do not guarantee uninterrupted service, specific business results, acceptance by Meta, or that AI output and automated actions will always be accurate or suitable.
To the extent permitted by law, GoodReply and its operator will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity. Our total liability arising from the service will not exceed the amount you paid GoodReply during the 12 months before the event giving rise to the claim.
These limits do not exclude liability that cannot lawfully be excluded. Consumer protection rights that apply to you remain unchanged.
Law, changes, and contact
These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Courts located in British Columbia will have jurisdiction, unless applicable consumer law gives you the right to use another forum.
We may update these Terms. We will post the updated version and effective date, and provide additional notice for material changes when reasonably required. Continued use after the new Terms take effect means you accept them.
